Terms of Service

TL;DR (Plain English Summary)

  • You own your data. We just host it. You can export it anytime.
  • We are a tool, not an auditor. We help you manage compliance, but we don't guarantee you'll pass an audit.
  • We don't train on your secrets. Our AI is configured to process your data for you, not learn from it for others.
  • Liability is capped. To keep our prices fair, our liability is limited to what you paid us in the last 12 months.

1. No Guarantee of Certification

Samrian provides software tools to assist Customer in managing quality and compliance processes. Customer acknowledges and agrees that: (a) Samrian is not an ISO 9001 auditor or certification body; (b) use of the Services does not guarantee compliance with any specific law, regulation, or standard (including ISO 9001); and (c) Customer is solely responsible for its own compliance program, internal audits, and the accuracy of data entered into the Services. Samrian disclaims all liability for any failed audits, fines, or penalties incurred by Customer.

2. Restrictions on Use

Customer shall not, and shall not permit any third party to:

  • (a) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, models, prompts, embeddings, algorithms, or internal workings of the Services;
  • (b) Use the Services or Output to train, fine-tune, or improve any machine learning model or AI system, whether directly or indirectly;
  • (c) Use the Services to build, benchmark, or improve a competing product or service;
  • (d) Interfere with, disrupt, or attempt to gain unauthorized access to the Services or any related systems, networks, or data;
  • (e) Use the Services in high-risk or safety-critical contexts (including aerospace, nuclear, life support, medical diagnosis, or emergency systems);
  • (f) Use the Services in violation of any export control, sanctions, or trade law;
  • (g) Use the Services to process unlawful, infringing, or harmful content, including personal data without required consents;
  • (h) Misrepresent Output as human-generated or professionally-certified findings.

3. Warranty Disclaimer

THE SERVICES, INCLUDING ALL AI FEATURES AND OUTPUT, ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SAMRIAN EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

SAMRIAN DOES NOT WARRANT THAT THE SERVICES OR OUTPUT WILL BE ERROR-FREE, COMPLETE, ACCURATE, OR WILL RESULT IN CUSTOMER'S COMPLIANCE WITH ANY LAW, STANDARD, OR REGULATION.

4. AI Output Disclaimer & Customer Responsibilities

(a) AI is Probabilistic. Customer acknowledges that the Services utilize artificial intelligence (“AI”) models that may generate content, analysis, or recommendations (“Output”) that are inaccurate, incomplete, misleading, or inconsistent (“Hallucinations”).

(b) No Reliance. Output is provided solely for informational purposes. Samrian does not warrant the accuracy, completeness, or reliability of any Output.

(c) Mandatory Human Review. Customer shall independently review, validate, and approve all Output before using it for any compliance, quality, operational, or decision-making purpose. Customer is solely responsible for any harm, loss, or liability arising from reliance on unverified Output.

(d) No Professional Advice. Output does not constitute legal, compliance, engineering, safety, or professional advice of any kind.

(e) Risk Allocation. Customer assumes all risk arising from use or misuse of Output, including failed audits, fines, penalties, operational losses, or defective process decisions.

5. Indemnification

Customer hereby agrees to indemnify and hold harmless Samrian against any damages, losses, liabilities, settlements and expenses (including without limitation costs and attorneys' fees) in connection with any claim or action that arises from an alleged violation of the foregoing or otherwise from Customer's use of Services.

6. Limitation of Liability

(a) Aggregate Cap. To the maximum extent permitted by law, Samrian’s total aggregate liability arising out of or relating to this Agreement shall not exceed the greater of (i) fees paid by Customer in the 12-month period immediately preceding the event giving rise to liability, or (ii) USD $10,000.

(b) Excluded Damages. Samrian shall not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including loss of profits, loss of data, business interruption, or loss of goodwill, even if advised of the possibility of such damages.

(c) Carveouts. Nothing in this Section limits liability for (i) gross negligence, (ii) willful misconduct, (iii) breach of confidentiality, or (iv) violations of applicable data protection laws.

(d) Fundamental Basis. These limitations form a fundamental basis of the bargain and apply regardless of failure of essential purpose.

7. Data Ownership & Licensing

  1. Customer Data: You retain all right, title, and interest in your Customer Data (including uploaded documents, logs, non-conformance reports).
  2. Output: Samrian assigns to you a worldwide, perpetual, non-exclusive, royalty-free license for the Output generated for your account, such that you own the rights to that Output for your use.
  3. Aggregated Data: Samrian retains ownership of anonymized, aggregated metadata or statistical data derived from your use of the Services, provided that such data does not identify you, your users, or contain proprietary business content.
  4. EU / Exports: Samrian warrants that aggregated data is sufficiently de-identified to not be considered "personal data" under GDPR; you may request documentation of such de-identification procedures.

8. Fees, Renewal & Cancellation

Customer will pay all fees specified in the Order Forms.

  • Subscription Renewal: Your subscription automatically renews at the then-current billing interval (monthly or annually), unless cancelled at least 30 days before the end of the billing cycle.
  • Notification: Samrian will notify you in writing (via email) of any upcoming renewal at least 30 days before renewal.
  • Cancellation: You may cancel your subscription via your account dashboard or by emailing support@samrian.com. Upon cancellation, you retain access until the end of your current paid term.

9. Termination & Data Deletion

  1. Termination for Cause: Samrian may terminate this Agreement for cause upon 30 days written notice to the Customer of a material breach if such breach remains uncured at the expiration of such period.
  2. Data Retention (Grace Period): Upon termination of your account, Samrian will retain Customer Data for up to 30 days (the "Grace Period") to allow for export or reinstatement.
  3. Deletion: After the Grace Period, Samrian will securely delete or permanently anonymize your Customer Data, unless retention is required by law.
  4. Early Deletion: You may request early deletion of your Customer Data at any time by contacting privacy@samrian.com. Samrian will comply within 30 days.

10. General Provisions

Governing Law. This Agreement shall be governed by the laws of the State of Delaware, without respect to its conflict of laws principles.

Severability. If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable.

Force Majeure. Samrian shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Samrian's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including "line-noise" interference), internet service provider failures or delays, or denial of service attacks.

Class Action Waiver. YOU AND SAMRIAN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Publicity. Customer grants Samrian the right to use Customer's name and logo on Samrian's website and marketing materials to identify Customer as a user of the Services. Customer may opt out of this by emailing support@samrian.com.
